Effective Date: 2024 Definitions and Description The C-TRIP Service Agreement (hereinafter referred to as "this Agreement") is a contract between you (the "User" or "you") and C-TRIP, under which C-TRIP provides services in accordance with the terms outlined in this Agreement. Please read these terms carefully and ensure you fully understand them. If you do not agree to any of the terms stated in this Agreement or any future amendments, please refrain from using C-TRIP and its related services. Your continued use of C-TRIP will be deemed as full acceptance of all terms in this Agreement. If you are a minor, please read this Agreement together with your legal guardian and determine whether you agree to its terms. Special attention should be given to provisions concerning the use of services by minors. The use of C-TRIP by a minor will be regarded as having received the guardian’s consent regarding the rights and obligations set forth in this Agreement. Services Provided The services offered by C-TRIP include, but are not limited to, the following: ● C-TRIP Platform: This includes the C-TRIP website (https://c-trip.site/createdata), online store, and client applications. ● Infrastructure: Servers and network storage space directly owned or operated by C-TRIP. ● Value-Added Services: Various additional services provided by C-TRIP. ● Other Technical and Support Services: Any other technical and/or support services offered by C-TRIP. Account Registration and User Accounts 1. Registration C-TRIP and its related services provide a registration channel, allowing you to create an account using a legally compliant combination of characters. You are responsible for setting a secure password that meets the platform’s security requirements. Your chosen account and password serve as your credentials for logging in and using C-TRIP services. If you are a minor, your use of C-TRIP may be restricted in accordance with applicable national laws, regulations, and regulatory requirements. 2. User Commitments and Responsibilities You understand and agree to the following: ● Your account must comply with national laws and C-TRIP’s policies and must not infringe upon national interests or the legal rights of others. ● You must not engage in activities that violate public morality or social ethics. ● Your account name, profile picture, bio, and other registration details must not contain illegal or inappropriate content. ● You are prohibited from creating accounts in another person’s name without their consent, including but not limited to using names, images, or other identifiers that may cause confusion. ● Malicious account registration, including but not limited to frequent or bulk account creation, is strictly prohibited. C-TRIP reserves the right to review the information you submit. During account registration and usage, you must adhere to legal and regulatory requirements, uphold socialist values, safeguard national and public interests, respect social ethics, and ensure the authenticity of the information you provide, in accordance with the "Seven Bottom Lines" principle. 3. Identity Verification and Account Management When registering, using, and managing your account, you must ensure the authenticity of your identity information. Please use real, accurate, legal, and valid identification documents and necessary details, including your full name, email address, phone number, and contact address. If the law requires you to provide personal information for identity verification, you must complete the real-name authentication process as per applicable regulations. This ensures that we can contact you when necessary or provide better services. You are also responsible for keeping your information up to date. If the information you submit is inaccurate, false, illegal, or if we have reasonable grounds to suspect it is fraudulent or unlawful, you may be restricted from using C-TRIP and its services, or certain features may be limited. 4. Account Creation and Compliance Checks To use our services, you must first create a user account ("User Account" or "Account"). Your account will only be activated once you have provided all the required registration information and we have verified it in accordance with applicable laws imposed by regulatory authorities. These verification checks may include, but are not limited to, anti-money laundering (AML) and counter-terrorism financing regulations. If you are registering a corporate account, we may also review your business details, including information on the ultimate beneficial owner (UBO). All information you provide during registration must be truthful, accurate, and complete. If we determine that any provided information is false, inaccurate, or incomplete, your account may be restricted or denied. 5. Account Ownership and Restrictions ● Each individual is allowed to own only one account. ● If our system detects multiple accounts under the same user, this may be flagged as potential money laundering activity, which could restrict fund withdrawals and mark your account as abnormal. Abnormal accounts in our system will be permanently ineligible for withdrawal requests. ● You must not use the service or create an account on behalf of another person. ● You may not act as a broker or intermediary. ● You are not permitted to sell, lend, share, or disclose your account credentials to any third party. ● If system monitoring identifies suspicious activity, a 20-50% security deposit may be required before an exception request can be processed. 6. Security and Fraud Prevention You are responsible for maintaining the security and confidentiality of your username, password, and any other credentials used to access the service. You must not provide misleading or fraudulent information, including but not limited to: ● Registering with a non-personal phone number. ● Creating false credit information for your account. ● Misrepresenting your country of origin. ● Submitting falsified identification documents. Violating these terms may result in the suspension or termination of your account. 7. Account Termination and User Rights You have the right to delete your account and terminate this agreement at any time. However, you remain responsible for any obligations incurred prior to termination. For users making their first large withdrawal request, applicable personal income tax must be paid before the withdrawal can be processed. Account Restrictions, Suspension, and Termination In certain cases, we may need to restrict, suspend, or terminate your account. These actions may limit or permanently prevent access to some or all of our services. ● Account Restrictions: May temporarily or permanently limit access to specific services. ● Account Suspension: Will temporarily block access to most services. ● Account Termination: Will result in the permanent loss of access to all services. If your account is restricted, suspended, or terminated, your balance and withdrawal access may be frozen or denied. Account Restrictions, Suspension, and Termination We reserve the right to restrict, suspend, or terminate your account or access to our services under the following circumstances: 1. Violation of Terms or Laws ○ If we believe that your actions violate these Terms of Service, applicable laws, or regulations. ○ If any content or information you submit or share through our services violates these Terms, applicable laws, or the rights of third parties. 2. Suspicion of Fraud or Financial Crimes ○ If we suspect that you are engaging in, attempting, or being involved in fraudulent activities, money laundering, terrorism financing, or other financial crimes. 3. Identity Verification Issues ○ If we are unable to verify your identity. ○ If we reasonably believe that you have provided false, misleading, or deceptive information during registration, identity verification, transactions, or other service interactions. 4. Legal Compliance ○ If required by applicable laws, regulations, governmental authorities, or court orders. 5. Prohibited Content or Behavior ○ If you provide or engage in defamatory, invasive, stalking, obscene, pornographic, racist, abusive, harassing, threatening, or offensive content or behavior. 6. Service Disruption or Security Threats ○ If you use the service in a way that may cause disruption, damage, or impairment. ○ If you attempt to bypass or interfere with security mechanisms. ○ If C-TRIP reasonably deems it necessary to protect the security, property, or brand of its services, users, or third parties. 7. Unauthorized Access Attempts ○ If you attempt to gain unauthorized access to user accounts or any part of our services. Notification and Compliance Obligations We will notify you of any account restrictions, suspensions, or terminations. However, under certain circumstances (e.g., security concerns), we may restrict, suspend, or terminate your account without prior notice. You acknowledge that our decisions regarding account actions may be based on confidential risk management and security protocols, which we are not obligated to disclose unless otherwise required by our Privacy Policy. If your withdrawal access is restricted, suspended, or terminated, you must resolve any account irregularities within 24 to 72 hours and pay the applicable penalties to reinstate your account. Account Usage 1. Personal Use Only ○ Your account is for personal use only. Without C-TRIP’s written consent, you are prohibited from gifting, lending, renting, transferring, selling, or otherwise authorizing the use of your account in any form. ○ If C-TRIP discovers or has reasonable grounds to believe that the registered user is not the original account holder, C-TRIP reserves the right to immediately suspend or terminate the account or revoke account security. 2. Account Security and Responsibility ○ You are responsible for maintaining the confidentiality of your account and password. ○ You bear full legal responsibility for any activities conducted under your registered account, including but not limited to profile modifications, comments, and payments made on C-TRIP and related services. ○ You must not disclose your account or password to others under any circumstances. If you detect any unauthorized use of your account or any security breaches, you must notify C-TRIP immediately. 3. Account Recovery ○ If you lose access to your account or forget your password, you may submit a recovery request through C-TRIP’s designated channels. ○ You acknowledge that C-TRIP’s password recovery process relies solely on matching the submitted information with system records and cannot verify whether the requester is the legitimate account owner. ○ You must securely store your account credentials and log out safely after using the service. If your account is compromised due to negligence or force majeure, you assume full responsibility. 4. Unauthorized Access and Force Majeure ○ If your account is stolen or lost due to malicious attacks, personal negligence, or other force majeure circumstances, you assume full responsibility, and C-TRIP bears no liability. 5. Account Restrictions ○ C-TRIP reserves the right to impose restrictions on certain account functionalities based on this agreement and relevant policies. ○ You acknowledge and accept that any losses resulting from such restrictions are solely your responsibility, and C-TRIP is not liable. 6. Third-Party Authorizations ○ Besides using a registered C-TRIP account, you may authorize others to access C-TRIP and related services through legally owned accounts. ○ This includes, but is not limited to, C-TRIP and affiliated software user accounts, as well as third-party accounts registered in your real name, except where such authorization is restricted by third-party software or platforms. ○ When logging in with an existing account, you must ensure it is registered under your real name and acknowledge that this agreement applies. 7. Third-Party Services ○ Your C-TRIP account may also be used to access other software and services provided by C-TRIP, its affiliates, or third-party partners. ○ When logging in with your C-TRIP account to use third-party services, you agree to abide by the terms of service of the respective service provider. 8. Identity Verification and Security ○ Your identity credentials serve as the basis for account verification, and you are responsible for their safekeeping. ○ Any actions or instructions issued using your credentials will be considered as authorized by you. ○ If your credentials are misused, stolen, or accessed illegally due to personal negligence, you bear all associated risks and losses. ○ Depending on your device and usage patterns, C-TRIP may implement different verification measures to confirm your identity. 9. Order Completion and Penalties ○ If an order placed through your account is not completed within 24-72 hours, the system will automatically mark it as a timed-out order. ○ If the order remains incomplete, C-TRIP may be required to pay 30-100% of the contract breach penalty to its partners before allowing you to place new orders or withdraw funds. 10. Inactive Account Policy ● To optimize account resources, C-TRIP reserves the right to reclaim your username if: ○ Your first login attempt after registration fails. ○ Your account remains inactive for more than one year. Account Deletion 1. Right to Delete Your Account ○ You have the right to request the deletion of your C-TRIP account. ○ Once your account is deleted, you will no longer be able to log in or use C-TRIP and its related services. ○ C-TRIP will cease providing all products and services associated with your account. ○ Account deletion is irreversible, meaning your account cannot be recovered after deletion. Please consider your decision carefully before proceeding. 2. Consequences of Account Deletion By confirming your account deletion request, you acknowledge and fully understand that you will permanently lose all account-related rights, including but not limited to: ○ Loss of access: You will no longer be able to log in or use C-TRIP and its related services with this account. ○ Data removal: All content, information, data, and records associated with your C-TRIP account will be deleted or anonymized. This includes, but is not limited to: ■ Account details (profile picture, nickname, bio, etc.) and linked information. ■ Transaction history and records, which will be permanently erased and cannot be restored. ○ Forfeiture of financial benefits: By deleting your account, you agree to waive any outstanding account balance interest and any future expected interest associated with your C-TRIP account. Account Deletion & Intellectual Property Rights Account Deletion 1. C-TRIP’s Rights After Account Deletion ○ After deleting your account, C-TRIP retains the right to provide or deny services related to your former account as per its policies. 2. Prerequisites for Account Deletion Before requesting account deletion, you must ensure the following conditions are met to protect your account security and financial interests: ○ Your account was officially registered through C-TRIP’s authorized channels and complies with the platform’s terms and regulations. ○ You have followed C-TRIP’s official account deletion procedures. ○ Your account is in a secure state, meaning: ■ It is not in the process of password recovery or phone number modification. ■ There are no pending complaints, reports, or security risks. ■ There are no unresolved transactions in your account. ○ Any other conditions that C-TRIP deems necessary. 3. Legal Implications of Account Deletion ○ Once your C-TRIP account is deleted, any user agreements, terms, and obligations associated with your account will be terminated, unless legally required or otherwise stated in contractual agreements. ○ Account deletion does not absolve you of responsibilities or liabilities incurred during the active period of your account, as required by applicable laws, regulations, agreements, and policies. Intellectual Property Rights 1. Ownership of Content and Services ○ C-TRIP and its affiliated companies own all intellectual property rights related to C-TRIP’s content and services, including but not limited to: ■ Website design, layout, images, files, data, and information. ■ Logos, trademarks, patents, copyrights, and trade secrets. 2. Prohibited Actions Without written permission from C-TRIP or its affiliates, you must not: ○ Copy, modify, reverse-engineer, publicly distribute, broadcast, publish, or commercially exploit C-TRIP’s content or services. 3. Trademark & Brand Use ○ This agreement does not grant you any right to use C-TRIP’s trademarks, logos, service marks, domain names, or brand assets unless explicitly authorized in writing. 4. User Responsibility for Copyright Compliance ○ You must respect intellectual property rights. Violations will result in legal liability, including compensation for damages. 5. User-Generated Content & Copyrights ○ Any content you upload, publish, or share on C-TRIP (e.g., text, images, videos, audio) must be original or properly licensed. ○ You retain ownership of the intellectual property rights of your uploaded content. However: ■ If a third party disputes the rights to your content, C-TRIP reserves the right to remove the content and hold you legally accountable. ■ You agree to compensate C-TRIP or affected third parties for any damages caused by intellectual property violations. Privacy Protection C-TRIP fully respects the protection of users' personal information. The C-TRIP Privacy Policy describes how C-TRIP processes your personal information when you use C-TRIP and its related services. By using C-TRIP and its related services, you agree that C-TRIP may process your information in accordance with this Privacy Policy. User Code of Conduct 1. When using C-TRIP and its related services, users must comply with the following laws and regulations: ○ International Copyright Law ○ International Computer Information System Security Protection Regulations ○ Computer Software Protection Regulations ○ Internet Bulletin Service Management Regulations ○ Information Network Communication Right Protection Regulations ○ International Cybersecurity Law ○ Other relevant laws and regulations related to computers and the internet. 2. If C-TRIP reasonably believes that a user's actions may violate the aforementioned laws and regulations, C-TRIP reserves the right to terminate the provision of services to the user at any time without prior notice. 3. Users are prohibited from engaging in the following activities: ○ Creating, uploading, copying, transmitting, or distributing any content that opposes constitutional principles, endangers national security, leaks state secrets, subverts state power, undermines national unity, incites ethnic hatred or discrimination, disrupts national religious policies, promotes cults or feudal superstitions, contains obscene, pornographic, gambling, violent, murderous, terrorist, or criminal incitement material, insults or defames others, infringes upon the legitimate rights of others, or includes any other content prohibited by laws and administrative regulations. ○ Falsifying titles or manipulating identity data to mislead others into believing that content originates from C-TRIP. ○ Uploading, publishing, sending emails, or otherwise transmitting unauthorized content, such as confidential or proprietary information. ○ Uploading, publishing, sending emails, or otherwise transmitting content that infringes upon any intellectual property rights, including but not limited to patents, trademarks, copyrights, or trade secrets. ○ Uploading, publishing, sending emails, or otherwise transmitting advertisements, promotional materials, or any form of "spam." ○ Uploading, publishing, sending emails, or otherwise transmitting software viruses or any code, files, or programs that interfere with, disrupt, or limit the functionality of computer software, hardware, or communication equipment. Content Compliance Users must ensure that any uploaded content complies with the regulations set forth by the National Radio and Television Administration, including but not limited to the Regulations on the Administration of Internet Audio-Visual Program Services (Order No. 56). All uploaded programs must adhere to applicable laws, administrative regulations, and departmental rules. The following types of content are strictly prohibited: 1. Content that opposes the fundamental principles established by the Constitution. 2. Content that endangers national unity, sovereignty, or territorial integrity. 3. Content that discloses state secrets, threatens national security, or damages national honor and interests. 4. Content that incites ethnic hatred, ethnic discrimination, or disrupts ethnic unity and cultural traditions. 5. Content that disturbs social order or undermines social stability. 6. Content that induces minors to commit crimes or promotes violence, pornography, gambling, or terrorist activities. 7. Content that insults or defames others, infringes on personal privacy, or violates other legal rights. 8. Content that damages social ethics or undermines valuable cultural traditions. Any content that violates relevant laws, administrative regulations, or national policies is strictly forbidden. If a user uploads such content, they will bear full responsibility for any resulting consequences. Should such violations impact C-TRIP, the user must take immediate action to mitigate the impact and compensate for any incurred losses. Subscription-Based Activities Once a reservation is successfully completed, any associated activity bonuses will be immediately credited. Users must complete the required cumulative deposit amount and fulfill all remaining reservation orders within three days before withdrawing any funds. Failure to do so will result in a temporary freeze on account withdrawals. Prohibited Activities Users are strictly prohibited from engaging in the following activities while using C-TRIP and its related services: 1. Any actions that endanger minors in any way. 2. Impersonating any individual or entity, or falsely claiming affiliation with any person or organization. 3. Interfering with or disrupting C-TRIP’s services, servers, or networks, or failing to comply with the terms of this agreement. 4. Knowingly or unknowingly violating any applicable laws, regulations, rules, or legally binding norms in China. 5. Accessing C-TRIP’s services, content, or data by any means without prior written authorization from C-TRIP, including but not limited to the use of automated programs, scripts, software, bots, spiders, or crawlers. Disclaimer of Liability C-TRIP shall not be held liable for service disruptions resulting from the following circumstances: 1. Temporary system shutdowns due to maintenance or upgrades. 2. Force majeure events such as typhoons, earthquakes, floods, lightning strikes, or terrorist attacks. 3. Hardware or software malfunctions of the user’s device, or failures in communication or power supply lines. 4. User errors or unauthorized access through unofficial or unapproved methods. 5. Service disruptions caused by viruses, malware, cyber-attacks, network congestion, system instability, technical failures, communication errors, power outages, banking issues, defects in third-party services, or actions taken by government authorities. Service Restoration and Liability Despite the aforementioned provisions, we will take reasonable measures to actively restore services to normal operation. 1. Under no circumstances shall C-TRIP be liable for any indirect, consequential, punitive, incidental, special, or exemplary damages, including but not limited to loss of profits resulting from your use of C-TRIP and its related services. The total liability of C-TRIP for any claims arising from any cause shall not exceed the fees (if any) you have paid to C-TRIP for using its software and related services. User-Uploaded Content 1. Content uploaded by users to C-TRIP represents only their personal views and opinions and does not reflect the stance or opinions of C-TRIP. The content uploader is solely responsible for the published content and any disputes arising from it. C-TRIP assumes no legal or joint liability. 2. C-TRIP does not guarantee the accuracy of any content that users publish, upload, distribute, or share. 3. C-TRIP has the right to handle illegal or non-compliant content in accordance with this agreement. However, this does not constitute an obligation or commitment, and C-TRIP cannot guarantee the timely identification or handling of such content. C-TRIP will act in compliance with applicable laws and regulations. 4. You acknowledge and agree that this agreement is intended to ensure compliance with national laws, maintain social order and public decency, and protect the legitimate rights of others. C-TRIP will make judgments within its capacity based on relevant laws and regulations, but it does not guarantee that its judgments will fully align with those of judicial or administrative authorities. You agree to bear any consequences arising from such discrepancies. Governing Law and Jurisdiction The validity, interpretation, modification, execution, and resolution of disputes related to this agreement shall be governed by the laws of the United States. Any disputes arising from your use of our services shall be resolved through negotiation. If no resolution is reached, either party may file a lawsuit in the local court where the defendant is located. Service Changes, Interruptions, and Termination 1. You acknowledge and agree that C-TRIP may adjust its business strategy, which may result in changes to service content or the interruption, suspension, or termination of services. 2. You acknowledge and agree that in the event of a merger, division, acquisition, or transfer of services, C-TRIP may transfer part or all of its services, along with the associated rights and obligations under this agreement, to a third party for operation or fulfillment. 3. You acknowledge and agree that if you violate relevant laws or regulations, C-TRIP has the right to unilaterally suspend or terminate this agreement and other C-TRIP services without prior notice. 4. Upon termination of services, C-TRIP has the right to delete or anonymize your personal information as required by applicable laws and to retain other content and information stored on our platform for the duration and in the manner prescribed by relevant regulations. 5. You acknowledge and agree that C-TRIP operators may conduct periodic or ad-hoc maintenance and repairs on the services or related equipment, which may result in temporary service interruptions. C-TRIP will provide prior notice whenever possible. Deposit Terms 1. When purchasing services on C-TRIP, you must carefully review the service duration, content, limitations, and other important requirements before confirming your purchase. 2. C-TRIP reserves the right to determine service fees and pricing structures and may adjust pricing policies at any time as needed. C-TRIP does not offer price protection or refunds for any reductions or promotional discounts. 3. Payments for C-TRIP services are processed by third-party payment providers. C-TRIP assumes no responsibility for any delays, errors, or issues that may arise during the payment process. Supplementary Usage Terms 1. C-TRIP places great importance on the protection of minors. If you are a minor, you must read this agreement under the supervision and guidance of your legal guardian and obtain their consent before using C-TRIP and its related services. 2. Minor users acknowledge that if they violate any laws, regulations, or the terms of this agreement, they and their legal guardians shall bear full legal responsibility in accordance with applicable laws. 3. To better protect minors' privacy rights, C-TRIP advises users to be cautious when posting content that includes information about minors. Once such content is published, the user will be deemed to have consented to C-TRIP displaying the minor’s information, images, and voice and to C-TRIP using and processing such content in accordance with this agreement. Agreement Modifications and Notifications C-TRIP reserves the right to modify the terms of this agreement as necessary. Please review the agreement periodically. If you continue to use the services covered by this agreement, you will be deemed to have accepted the modifications. If you do not agree to the modifications, you should terminate this agreement and discontinue use of the services.
